Commercial Legal Counsel (U.S. Government Contracting)

Location: Remote; requires substantial working-hour overlap with the Israel time zone and regular availability during Israeli business hours, including early-morning availability when based in the United States.

What you will do

• Draft, review, and negotiate commercial agreements, customer contracts, services agreements, subcontracts, teaming agreements, NDAs, vendor agreements, and technology-related agreements.
• Advise on U.S. federal, state, and local government contracting matters, procurement rules, FAR, DFARS, and agency-specific requirements.
• Review solicitations, RFPs, bids, and government contracts to identify legal, commercial, compliance, and operational risks.
• Support contract administration, including amendments, change orders, claims, disputes, payment matters, and termination issues.
• Partner with Sales, Finance, Operations, Procurement, Information Security, and other stakeholders on practical legal solutions.
• Develop contract templates, playbooks, approval processes, and internal compliance procedures while managing external counsel when necessary.

Requirements

• Law degree from an accredited law school and admission in good standing with at least one U.S. state bar.
• At least five years of relevant legal experience, including commercial law and U.S. government contracting.
• Strong working knowledge of federal procurement regulations, including FAR and preferably DFARS.
• Experience advising on legal and regulatory compliance requirements across multiple U.S. states.
• Experience negotiating commercial agreements and government-related prime contracts, subcontracts, or teaming agreements.
• Strong drafting, negotiation, analytical, communication, risk assessment, and prioritization skills.
