Equity Research Analyst, Private Placements

What you will do

• Screen US-listed companies for capital needs using cash runway, burn rate, financing capacity, catalysts, and trading liquidity.
• Monitor SEC filings, sell-side research, news flow, and banker activity while maintaining the investment watchlist and candidate tracker.
• Build financial models covering runway, dilution, capital structure, warrant scenarios, and convertible transaction outcomes.
• Conduct company, management, financing, competitive, clinical, and regulatory due diligence; prepare investment memos and recommendations.
• Monitor portfolio companies, catalysts, earnings, filings, cash positions, follow-on financings, warrant amendments, and registration rights.
• Coordinate with investment managers, management teams, investor relations, legal, and compliance from deal inception through pricing.

Requirements

• 2–5 years of experience in equity research, investment banking/ECM, buy-side analysis, or transaction advisory.
• Strong accounting and financial modeling skills, with the ability to read SEC filings in detail.
• Working knowledge of PIPEs, registered directs, ATMs, warrants, and related transaction structures.
• Excel and Bloomberg proficiency; SQL or Python experience is beneficial for process automation.
• Ability to work on deal timelines where investment decisions may be required within one day.
• Visa sponsorship for work authorization is not available now or in the future.

• CFA progress or completion.
• Experience valuing options, warrants, or convertible securities.
• Direct deal experience.
