Senior In-House Counsel (AI)

Location: Hybrid or remote from Santa Clara, California; Boston, Massachusetts; Toronto, Ontario; or Austin, Texas. Employment is contingent on eligibility to access U.S. export-controlled technology and may depend on citizenship, permanent residency, or prior export-license approval.

What you will do

• Own the full lifecycle of commercial contracts, from intake and drafting through negotiation, execution, and ongoing management.
• Advise Leadership, Engineering, Product, Sales, Supply Chain, Finance, Security, IT, People, and Operations.
• Draft and negotiate technology, SaaS, cloud, hardware sales, channel, vendor, supplier, manufacturing, logistics, and foundry agreements.
• Advise on data privacy, cybersecurity, cross-border data transfers, compliance, and broader business risks.
• Build templates, playbooks, fallback positions, policies, and CLM workflows that support business growth.
• Use AI tooling and practical risk management to help teams move quickly while reducing legal and compliance exposure.

Requirements

• JD and active state bar membership.
• 5+ years of experience in a law firm or in-house legal department.
• Experience drafting, structuring, negotiating, executing, and managing complex commercial agreements.
• Experience with supply chain, manufacturing, procurement, supply, logistics, or third-party logistics agreements.
• Experience advising on global data protection, privacy, cybersecurity, DPAs, SCCs, transfer mechanisms, security terms, audit rights, and incident notification.
• Must be eligible to access U.S. export-controlled technology; citizenship, permanent residency, or prior license approval may be required.

Nice to have

• Experience in technology, semiconductor, hardware, chip manufacturing, or supplier environments.
• Experience with GDPR, CCPA, and APPI.
