Commercial Counsel, Hardware

Location: San Francisco, California, United States; hybrid work with at least 3 days per week in the San Francisco office

Annual salary: $335,000–$385,000 USD

What you will do

• Negotiate and close high-volume agreements for hardware, components, embedded firmware, and companion software licenses.
• Structure and negotiate complex technology, data licensing, joint development, supply, and partnership agreements.
• Assess product safety, foreign-component restrictions, export controls, sanctions, tariffs, customs, and cross-border supply-chain risks.
• Partner with Procurement, Finance, Legal, national security, compliance, engineering, and business teams on practical risk decisions.
• Develop self-service guidance, contract templates, and AI-assisted review tools for routine purchases.
• Manage outside counsel and support additional technology and hardware transactions.

Requirements

• JD and active membership in at least one U.S. state bar; California admission is preferred.
• Hands-on experience purchasing hardware, firmware, components, and software in high-volume, fast-paced environments.
• Deep experience leading complex technology, data licensing, joint development, or supply partnership deals.
• Working knowledge of international supply chains, sourcing risks, trade compliance, export controls, sanctions, tariffs, and customs.
• Ability to communicate legal and commercial risks clearly to scientists, engineers, and operators.
• Ability to work from the San Francisco office at least 3 days per week.

Nice to have

• At least 8 years of legal experience in hardware or a closely related technical field.
• In-house experience at a rapidly scaling, hardware-intensive technology company.
• Experience supporting product or engineering teams as dedicated counsel.
• Experience with facilities or on-site vendor services, including insurance and safety matters.
• Engineering, product, or other technical background, or experience using AI tools in legal work.
