Legal Counsel (Private Markets)

Location: Toronto, Ontario, Canada

Salary: 157,600–197,000 CAD per year

What you will do

• Negotiate and manage high volumes of pre-M&A contracts, including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters.
• Liaise directly with counterparties and meet agreed contract turnaround times.
• Act as the primary day-to-day legal contact for investment funds and asset managers.
• Maintain and update client playbooks to ensure consistency and quality in negotiations.
• Collaborate with and mentor junior lawyers and paralegals while reviewing their work.
• Identify ways to improve the legal technology suite through AI-backed tools.

Requirements

• 7–8+ years of post-law-school corporate or transactional experience.
• Independent experience negotiating pre-M&A contracts, including NDAs, NRLs, joinders, and engagement letters.
• Experience with asset managers, investment banks, or other financial services firms.
• Law degree and license to practice in the US or Canada.
• Ability to provide concise legal advice, manage priorities, and build relationships with sophisticated financial services clients.
• Comfort working with legal technology, including AI tools and HighQ.
