What you will do

• Provide day-to-day legal coverage for the GreensLedge Capital Markets business and its investment banking and capital markets transactions.
• Draft, review, and negotiate NDAs, engagement letters, offering agreements, distribution agreements, and other commercial and transaction documents.
• Support structured credit and securitized product transactions, including CLOs, CFOs, rated feeders, and related financing and placement activities.
• Advise on confidentiality, conflicts, indemnification, fees, reliance provisions, termination rights, and other transaction-specific terms.
• Review offering and marketing materials while coordinating with outside counsel, clients, counterparties, and transaction parties.
• Collaborate with Compliance, Risk, and other control functions, and manage external counsel on transactions and regulatory matters.

Requirements

• Juris Doctor degree with six years of experience and strong academic credentials.
• Active bar membership in good standing.
• At least five years of relevant transactional legal experience in structured finance, structured credit, securitization, capital markets, investment banking, or comparable private practice or in-house work.
• Independent experience drafting and negotiating NDAs, engagement letters, and other transaction and commercial agreements in a capital markets or financial services environment.
• Familiarity with CLOs, CFOs, rated feeders, securitization, private placement, and fund-financing structures.
• Ability to manage high-volume matters, prioritize competing demands, communicate with senior stakeholders, and provide practical legal and regulatory advice.

Nice to have

• Experience at a major law firm or financial institution.
• Working knowledge of securities laws and SEC and FINRA requirements relevant to broker-dealer investment banking and capital markets activities.
