Principal Legal Counsel (TradFi)

What you will do

• Advise on product and payment-flow structuring, including card-issuing fronting arrangements, banking and payment-processing partnerships, regulatory sandboxes, and third-party payment service providers.
• Assess yield-generating savings products against securities-law and pooled-asset fund characteristics.
• Advise on asset-management and fund-licensing implications for products that pool user assets.
• Prepare jurisdiction restriction matrices for tokenized or fractional equities and equity-linked products.
• Lead legal support for Product, Business, AML, and internal stakeholders, including entity placement and license-uplift analysis.
• Draft and launch product terms for new services, including AI-driven initiatives, and update existing terms to industry standards.

Requirements

• Qualified lawyer with a JD, LLB, or equivalent qualification and 12+ years of experience.
• Significant in-house experience in financial services, fintech, brokerage, or crypto/digital assets.
• Expertise in securities law, brokerage and clearing structures, asset and fund-management regulation, and cross-border payments licensing.
• Experience negotiating institutional brokerage, clearing, and outsourcing agreements.
• Familiarity with virtual-asset regulatory frameworks and multi-jurisdictional licensing analysis.
• Strong drafting skills for consumer-facing product terms across multiple legal entities and jurisdictions.
