TL;DR
Compute & Infrastructure Counsel, Real Estate (AI/datacenter infrastructure): Leading legal execution for large-scale datacenter leases, construction agreements, and financing structures with an accent on real estate transactions, project finance, and AI-specific facility requirements. Focus on negotiating long-term leases, coordinating outside counsel, and managing risks involving high-density power, liquid cooling, commissioning, and rapid capacity expansion.

Location: San Francisco, CA or Seattle, WA; at least 3 days per week in the office

What you will do

  • Negotiate long-term datacenter leases with major developers.
  • Coordinate design-build contracts, equipment procurement, commissioning schedules, and other construction-related agreements.
  • Manage legal workstreams for sale-leasebacks, tax structures, project finance vehicles, and other complex financing arrangements.
  • Coordinate specialized real estate and financing outside counsel while maintaining alignment with commercial objectives.
  • Partner with compute transaction managers, finance, and corporate development on deal structuring and operational execution.
  • Assess how power, cooling, security, expansion rights, and other facility decisions affect AI compute capacity and operational flexibility.

Requirements

  • JD and active membership in at least one U.S. state bar required.
  • Fluency in commercial real estate, construction contracting, datacenter lease structures, construction risk allocation, and financing arrangements.
  • Experience with EPC, AIA, and large-scale design-build arrangements.
  • Comfort with project finance and the interaction between leases, financing, and development agreements.
  • Ability to coordinate outside counsel, collaborate with transaction and site-selection teams, and communicate complex risks clearly.
  • Minimum education: bachelor’s degree or equivalent education, training, or experience.

Nice to have

  • 8 or more years of relevant legal experience involving infrastructure real estate, project finance, or construction contracts.
  • In-house experience with datacenter development, leasing, or financing transactions.
  • Infrastructure private equity, large technology company, or specialized infrastructure finance law firm experience.
  • Experience with construction timelines, commissioning, operational handoff, tax structures, or sale-leasebacks.
