Assistant General Counsel – Commercial & Corporate

What you will do

• Build scalable commercial legal processes, contract workflows, standard templates, negotiation playbooks, training, and contract management tools.
• Structure, draft, and negotiate complex customer, supplier, vendor, procurement, joint-development, alliance, and partnership agreements.
• Support corporate development transactions, including joint ventures, strategic investments, technology transfers, licensing, and strategic partnerships.
• Advise on corporate governance, subsidiary and entity management, and corporate transaction support.
• Serve as the primary legal advisor to procurement and global supply chain teams working with advanced hardware, specialized materials, and manufacturing partners.
• Partner with executive, commercial, engineering, finance, compliance, supply chain, and corporate development teams on strategic decisions and risk management.

Requirements

• J.D. from an accredited law school and active bar admission in good standing in at least one U.S. jurisdiction; eligibility for Massachusetts in-house counsel registration.
• 12+ years of legal experience, preferably including top-tier law firm and significant in-house experience in technology, energy, advanced manufacturing, or industrial companies.
• Deep experience drafting and negotiating complex commercial contracts, strategic partnerships, global supply chain agreements, and corporate development transactions.
• Experience with corporate governance, entity structuring, contract lifecycle management tools, and negotiation playbooks.
• Ability to advise senior executives, synthesize complex technical and operational issues, and provide pragmatic legal guidance.
• Ability to work in a hybrid role based in Devens, Massachusetts, with occasional travel and required nights, weekends, or on-call coverage.
