Associate Counsel - Contracts

Location: Remote; active membership in at least one U.S. state bar required

What you will do

• Draft, review, redline, and negotiate routine and moderately complex commercial agreements for customer and vendor transactions.
• Assess contract terms for legal and business risk, including indemnification, liability, termination, intellectual property, confidentiality, privacy, data protection, and security provisions.
• Participate in negotiations, resolve redlines, and support agreements through execution.
• Partner with business stakeholders to translate commercial objectives into appropriate contract terms and explain risks and alternatives.
• Manage contract lifecycle activities from intake through execution, including approvals, signatures, version control, recordkeeping, and status tracking.
• Conduct legal research and use contract management systems and AI-enabled legal technology to improve review, drafting, analysis, and efficiency.

Requirements

• Juris Doctor degree and active membership in good standing in at least one U.S. state bar.
• 1–2 years of relevant legal experience, preferably in commercial contracting.
• Experience drafting, reviewing, redlining, or negotiating commercial agreements.
• Strong analytical, legal research, written, and verbal communication skills.
• Ability to manage multiple matters, meet deadlines, exercise sound judgment, and recognize when escalation is required.
• Proficiency in Microsoft Office Suite and ability to learn contract management software, databases, and related legal technology.

Nice to have

• Experience using AI-enabled tools for contract review, drafting, redlining, or analysis.
• Interest in developing proficiency with legal technology.
