Counsel, Commercial (AI)

Location: Hybrid role based in San Francisco or New York City, United States

Salary: $125,000–$185,000 USD per year

What you will do

• Draft, review, and negotiate vendor and customer agreements, NDAs, MSAs, SOWs, order forms, and other commercial contracts.
• Partner with business and cross-functional teams on commercial contracting matters.
• Manage a high volume of contracts and competing priorities through timely execution.
• Identify issues requiring escalation or cross-functional input and provide practical legal guidance.
• Develop and improve contract templates, playbooks, negotiation guidelines, and contract lifecycle workflows.
• Support the Associate General Counsel, Commercial on ad hoc legal projects.

Requirements

• J.D. and active membership in good standing in at least one U.S. jurisdiction.
• 3–5 years of relevant in-house commercial or transactional legal experience.
• Strong experience drafting and negotiating vendor agreements, customer agreements, NDAs, MSAs, SOWs, and order forms.
• Excellent drafting, negotiation, and communication skills, including the ability to explain complex legal concepts clearly.
• Experience with Ironclad or a similar contract lifecycle management platform.
• Comfort using AI workflows, managing competing priorities, and balancing legal risk with business objectives in a fast-paced environment.
