Underwriting Leader (Representations and Warranties - M&A Financial Lines)

Location: Chicago, Illinois, United States; primarily in the office

Salary: $250,000–$290,000 base salary for listed U.S. locations, plus bonus eligibility.

What you will do

• Lead the technical underwriting, structuring, pricing, and negotiation of complex representations and warranties insurance transactions.
• Research transaction parties and industries, review deal agreements and due diligence materials, and assess legal, financial, and commercial risks.
• Prepare and negotiate indication letters, insurance policies, and binder agreements.
• Act as a key point of contact for clients, brokers, lawyers, private equity professionals, and other deal advisors.
• Manage underwriting workflows, outside counsel, advisors, conference calls, and presentations to management.
• Develop M&A relationships, support marketing initiatives, coach less experienced colleagues, and contribute to product-line strategy and profitable growth.

Requirements

• At least 7 years of professional experience in M&A legal, underwriting, corporate finance, or a related discipline, including at least 3 years of direct underwriting experience with M&A insurance products.
• Advanced understanding of complex corporate M&A transactions, corporate structuring, financing arrangements, and transaction-document drafting.
• Deep knowledge of warranty breaches, tax structuring issues, litigation, and the computation and measurement of damages.
• Strong financial and commercial acumen, including analysis of financial statements, quality of earnings reports, and commercial due diligence materials.
• Advanced negotiation, relationship-management, communication, leadership, and presentation skills.
• Experience in insurance or financial institutions, with a strong understanding of underwriting discipline, portfolio considerations, and the M&A insurance marketplace.
