Counsel II, Capital Markets (Fintech)

Location: Remote within the United States

Salary: $185,000–$245,000 per year in CA, WA, NY, NJ, and CT; $164,000–$224,000 per year in other U.S. states.

What you will do

• Support the development of diversified capital sources and capital markets strategies, including international expansion.
• Support the bank partnerships function in developing originating and card-issuing bank relationships.
• Guide financing transactions and initiatives from strategy discussions through legal execution.
• Draft, review, and negotiate U.S. and international capital markets documents, including credit and security agreements, loan sale agreements, indentures, certificates, resolutions, and side letters.
• Advise on lending and securities laws and regulations affecting capital markets transactions.
• Communicate legal advice clearly and support special projects.

Requirements

• 5+ years of relevant law-firm experience; additional in-house experience, especially at a high-growth fintech startup, is preferred.
• JD from a well-regarded law school and active membership in a U.S. state bar.
• Experience with structured and debt finance, including term, revolving, and asset-based lending; warehouse and asset-backed financing; loan sales; securitizations; and other funding structures.
• Strong business judgment, negotiation, interpersonal, problem-solving, organizational, and communication skills.
• Ability to work independently, collaborate effectively, prioritize responsibilities, and take ownership of projects.
