Senior Counsel, Capital Markets (Fintech)

Location: Remote within the United States

Base pay: $220,000–$280,000 per year in CA, WA, NY, NJ, and CT; $195,000–$255,000 per year in other U.S. states.

What you will do

• Advise the capital markets team on expanding the company’s network of capital sources and financing strategies, including international expansion.
• Support the bank partnerships team in developing relationships with originating and card-issuing partner banks.
• Lead financing transactions and bank partner initiatives from legal strategy through execution and post-closing maintenance.
• Draft, review, and negotiate U.S. and international capital markets documents, including credit and security agreements, loan sale agreements, indentures, certificates, resolutions, and side letters.
• Advise on lending and securities laws and regulations related to capital markets transactions.
• Serve as a legal point of contact for cross-functional teams and provide guidance on special projects.

Requirements

• 7+ years of relevant law-firm experience; additional in-house experience, especially at a high-growth fintech startup, is preferred.
• JD degree from a well-regarded law school and active membership in good standing of a U.S. state bar.
• Experience with structured and debt finance, including term, revolving, and asset-based lending.
• Experience with warehouse and asset-backed financing, loan sales, securitizations, and other funding structures.
• Strong business judgment, negotiation, interpersonal, problem-solving, organizational, and communication skills.
• Ability to take ownership of projects and work effectively both independently and collaboratively.
