Associate Counsel (Emerging Markets)

Location: Kuala Lumpur, Malaysia. Work from home available.

What you will do

• Lead legal execution for investment transactions, including term sheets, subscription and shareholder agreements, SAFEs, convertible instruments, follow-on rounds, secondaries, and exits.
• Draft, negotiate, and close commercial agreements, including advisory and program agreements, government and sovereign mandates, partnerships, sponsorships, and vendor contracts.
• Advise investment, program, and business development teams on transaction structures, risk allocation, and negotiation positions.
• Execute entity formation, maintenance, licensing, and wind-down across non-US entities in multiple jurisdictions.
• Support fund formation, licensing, regulatory filings, compliance calendars, and the transition of legacy fund structures in-house.
• Manage legal templates, records, regulatory monitoring, and external counsel across jurisdictions.

Requirements

• Qualified lawyer admitted to practise in at least one jurisdiction and holding a law degree from a reputable university.
• At least five years of post-qualification experience in private practice and/or in-house roles, focused on corporate, venture, and commercial transactions.
• Direct experience with venture capital or private equity transactions, including term sheets, shareholder agreements, and convertible instruments.
• Strong drafting, negotiation, communication, judgement, and attention-to-detail skills.
• Experience managing external counsel across multiple jurisdictions, including scope, budgets, timelines, and quality control.
• Clear written and verbal English communication is required.

Nice to have

• Experience advising a fund manager on fund formation, LP documentation, and side letters.
• Experience with employment documentation for non-US entities.
