Commercial Counsel (SaaS)

Location: Hybrid role based in the London, UK or Dublin, Ireland offices, with at least two days in the office each week.

What you will do

• Review, revise, draft, and negotiate commercial contracts with EMEA customers and prospects, including customer paper, SaaS, enterprise B2B, sales, and data processing agreements.
• Advise the EMEA enterprise sales organization on contracting matters, agreement changes, enablement, and communications.
• Provide strategic guidance on contracting, process improvement, and commercial contract lifecycle management.
• Maintain legal playbooks and improve template documents and contracting workflows in the contracts management and automation platform.
• Partner with product and legal operations teams to assess product updates, operationalize templates, and improve review, negotiation, and approval processes.
• Monitor legal trends and best practices in SaaS, data privacy, and EU/UK requirements, and contribute to special projects.

Requirements

• Approximately five years of experience negotiating commercial contracts at high-growth technology companies.
• Experience with global commercial transactions, SaaS and enterprise B2B agreements, customer paper, and data processing agreements.
• Working knowledge of GDPR and other data protection laws, with an interest in data and privacy.
• Qualified solicitor or lawyer admitted to practice in Ireland, England and Wales, or another European jurisdiction.
• Professional fluency in English and French, including the ability to independently review, draft, and negotiate agreements in both languages.
• Strong communication, attention to detail, business judgment, initiative, and experience delivering high-volume contract execution.

Nice to have

• Experience using AI tools such as Claude for contract review, drafting, and legal research.
• Knowledge of the EU AI Act.
• Experience negotiating partner contracts.
