Legal Counsel - Banking and Finance

What you will do

• Draft, review, and negotiate facility agreements, security documents, guarantees, intercreditor arrangements, and related finance documentation.
• Support debt financings from term sheet and mandate stages through conditions precedent, signing, and closing.
• Advise on secured lending, asset-backed structures, covenants, reporting obligations, waivers, amendments, and utilisation mechanics.
• Coordinate external counsel across jurisdictions and manage financing scope, budgets, and timetables.
• Support treasury, finance, corporate, M&A, governance, employment, procurement, data protection, and intellectual property matters.
• Draft and negotiate commercial contracts, including NDAs, SaaS, infrastructure, and technology agreements, while developing internal legal templates and playbooks.

Requirements

• LLM or equivalent and a law degree from an accredited programme.
• 2–5 years of post-qualification experience in banking and finance, gained in a law firm or in-house environment.
• Practical knowledge of facility agreements, security documents, conditions precedent, covenants, events of default, and enforcement.
• Ability to provide pragmatic legal advice in a fast-paced, multi-jurisdictional environment.
• Strong written and verbal English communication skills.
• High ownership, ethical judgement, professionalism, and ability to work cross-functionally.

Nice to have

• Experience in technology, infrastructure, energy, or high-growth companies.
• Exposure to project finance, infrastructure finance, data-centre financing, acquisition finance, or leveraged transactions.
• Experience with equity raises, international expansion, or cross-border financings.
• Familiarity with UK financial services regulation, including FCA/PRA perimeter questions.
• Experience managing external counsel and commercial technology contracts.
