What you will do

• Coordinate the preparation, review, and EDGAR filing of 10-K, 10-Q, 8-K, S-1, S-3, and related disclosure documents.
• Maintain SEC filing calendars, statutory deadlines, internal review cycles, sign-offs, exhibit lists, and incorporation-by-reference checklists.
• Support capital markets transactions, including registered offerings and continuous offerings by exchange-traded funds.
• Prepare closing checklists, signature pages, officer’s certificates, closing sets, and prospectus supplements.
• Coordinate due diligence with underwriters, auditors, outside counsel, Finance, Compliance, and other stakeholders.
• Support corporate governance activities, including board materials, resolutions, minutes, corporate records, and shareholder meeting materials.

Requirements

• Bachelor’s degree and/or paralegal certificate from an ABA-approved program, or equivalent experience.
• 4–7 years of corporate, securities, or capital markets paralegal experience.
• Hands-on experience preparing and filing 10-Ks, 10-Qs, 8-Ks, S-1s, and S-3s through EDGAR.
• Experience supporting registered offerings, follow-ons, ATM programs, or private placements, including closing mechanics and due diligence.
• Knowledge of Section 16 reporting, Rule 144, and public company disclosure obligations.
• Strong project management, attention to detail, organization, communication, discretion, and ability to manage deadline-driven work independently.

Nice to have

• Experience with Workiva, Donnelley Active Disclosure, Diligent Boards, or Boardvantage.
• Advanced Microsoft Word, PowerPoint, and Excel skills.
• Familiarity with AI tools for legal workflow and efficiency.
• Experience in crypto, fintech, asset management, or digital asset products.
