VP Assistant General Counsel

Location: Toronto office; hybrid work arrangement. Applicants must have the right to work in Canada without current or future sponsorship.

Salary: CAD 255,000–295,000 per year, plus discretionary bonus and retirement contributions.

What you will do

• Structure, form, advise on, and provide ongoing legal support for private funds, including open-ended funds, closed-end funds, and funds-of-one.
• Support registered funds under National Instruments 81-102 and 81-106.
• Advise on investment advisory services for institutional, intermediary, and private wealth managed account clients, including negotiating advisory agreements.
• Advise on the structuring, development, and distribution of products and investment vehicles in Canada and internationally.
• Support OSC, SEC, and NFA-related regulatory, compliance, and corporate governance matters, including board meetings.
• Negotiate agreements with service providers and counterparties, review RFPs and marketing materials, collaborate with global legal and compliance teams, and supervise outside counsel.

Requirements

• At least 6–10 years of legal experience, including 5+ years at a large law firm.
• Extensive knowledge of Canadian National Instruments 31-103, 45-106, 81-102, and 81-106.
• Experience with private funds, registered funds, separate accounts, and regulatory and compliance matters.
• Strong organization, multitasking, communication, and deadline-management skills.
• Ability to work independently, manage changing priorities, and communicate with senior management and investment professionals.
• Authorization to work in Canada without current or future sponsorship is required.

Nice to have

• Knowledge of the U.S. Investment Advisers Act of 1940, U.S. Commodity Exchange Act, and related CFTC/NFA matters.
