Senior Legal Counsel For Mergers & Acquisitions (Aerospace)

Location: Toulouse Area, Toulouse, France. The role is based in Toulouse, involves frequent business travel, and may require short-notice travel.

What you will do

• Draft and negotiate preliminary agreements and transaction documents, including memoranda of understanding, letters of intent, share purchase agreements, shareholders’ agreements, and joint-venture agreements.
• Manage legal due diligence and post-closing matters for acquisitions, divestments, investments, and joint ventures.
• Identify and mitigate legal and compliance risks across international and transversal M&A projects.
• Coordinate with antitrust, compliance, M&A, tax, finance, HR, insurance, real estate, and business stakeholders.
• Select and manage external law firms and other legal support in a cost-efficient manner.
• Advise hirify.global senior management and support transaction teams, outside counsel, bankers, and consultants.

Requirements

• EU, US, or UK legal qualification with a specialization in business law and/or corporate law.
• At least five years of international M&A experience as a practicing lawyer.
• Strong drafting, negotiation, and communication skills.
• Negotiation-level English is mandatory.
• Ability to manage multiple projects under strict deadlines in a complex, international, multicultural, and technical environment.
• Ability to work autonomously, collaborate effectively, and provide concise, business-oriented guidance to senior management.
