Fund Formation Attorney, MD

Location: New York, United States

Annual base salary: $270,000–$300,000, plus discretionary bonuses and potential equity or other incentive compensation.

What you will do

• Lead fund formation legal advice for institutional fund products throughout the fundraising lifecycle.
• Advise on LPAs, side letters, MFN elections, subscription documents and other fund governing and offering documents.
• Coordinate with Institutional Client Solutions, operations, business teams, internal legal stakeholders and outside counsel on fund launches and investor negotiations.
• Advise on LP experience, investor priorities, LPAC matters, fund governance, amendments and ongoing investor relations legal issues.
• Provide guidance on regulatory considerations under the Investment Advisers Act, Investment Company Act, ERISA and applicable securities laws.
• Manage, develop and mentor junior attorneys while prioritizing and quality-controlling work across fundraising and product initiatives.

Requirements

• 10+ years of experience practicing fund formation law.
• Experience as an in-house fund formation lawyer or at a law firm with a fund formation practice.
• Strong analytical, judgment, discretion, communication and matter-management skills.
• Demonstrated experience managing and mentoring other lawyers.
• J.D. from an accredited law school and admission in good standing to at least one U.S. state bar; New York admission is preferred.
• Meaningful credit experience is strongly preferred, including private credit, structured products, NAV facilities, leverage and financing arrangements, or credit-related fund terms.

Nice to have

• Experience with cross-border fundraising, non-U.S. investor structuring and offshore fund vehicles.
• Experience with retail and open-ended private funds.
