FVP, Associate General Counsel (Banking)

Location: HQ - San Diego, California, United States

Salary: $130,000–$150,000 per year, plus discretionary bonus targets of 10% cash and 10% restricted stock units.

What you will do

• Provide legal expertise and strategic guidance on corporate governance, regulatory matters, contracts, and risk management.
• Draft, review, and negotiate transaction documents for mergers and acquisitions, securitizations, and commercial real estate transactions.
• Develop and maintain standardized form contracts for routine business activities.
• Identify and mitigate legal risks while ensuring adherence to applicable laws, regulations, and bank policies.
• Deliver practical legal support to all bank business units in collaboration with internal teams and external counsel.

Requirements

• Juris Doctor degree from a highly regarded law school.
• At least 5 years of experience at a major law firm focused on mergers and acquisitions and securities law.
• Experience drafting, reviewing, and negotiating transaction documents.
• Active California Bar membership in good standing with no disciplinary history.
• Strong analytical, strategic planning, communication, negotiation, organizational, and time management skills.
• Successful completion of credit, criminal background, drug, and federal employment eligibility checks is required.

• Experience with real estate transactions.
