Fund Formation Attorney, AVP

Location: New York, United States

Annual base salary: $135,000–$200,000, plus potential bonuses and incentive compensation.

What you will do

• Support the launch of new fund products, advising on fund structures, regulatory considerations, and formation timelines.
• Coordinate with outside counsel, business groups, Institutional Client Solutions, and Legal & Compliance on fund formation and fundraising matters.
• Draft and negotiate limited partnership agreements, side letters, MFN elections, subscription documents, and other fund governing and offering documents.
• Respond to limited partner requests and comments.
• Manage fund closings, coordinate stakeholders and investors, and resolve subscription documentation issues.

Requirements

• 3+ years of experience practicing fund formation law.
• In-house fund formation experience or experience in a law firm fund formation practice.
• Hands-on experience drafting fund documentation.
• Technical understanding of closed-end private funds, fund economics, waterfall structures, and key limited partner protections.
• Strong issue-spotting, practical thinking, problem-solving, and collaboration skills.
