Senior Paralegal (Investment Funds & Capital)

Location: Silicon Valley, United States; hybrid work with in-office attendance as required by the firm’s guidelines

Target salary for San Francisco: $123,000–$170,000 per year. The position is eligible for overtime.

What you will do

• Prepare and review fund formation documents, including partnership agreements, operating agreements, subscription documents, and side letters.
• Coordinate investor onboarding, KYC/AML compliance, and subscription tracking.
• Assist with Form D, Form ADV, SEC, state, and other regulatory filings.
• Maintain fund and entity records, organizational charts, and minute books.
• Coordinate closings and capital calls, including closing binders and investor communications.
• Research securities laws and investment adviser regulations, interface with clients and service providers, and improve fund documentation and compliance workflows.

Requirements

• BA/BS degree and 5+ years of experience in private investment funds or related legal practice.
• California paralegal certification compliant with California Business and Professions Code Section 6450 is required for California applicants; ABA-accredited certification is preferred outside California.
• Deep understanding of private investment fund structures, investor onboarding, and regulatory frameworks.
• Expertise with fund administration platforms and strong proficiency in Microsoft Word and Excel.
• Strong organization, communication, attention to detail, client service, and deadline-management skills.
• Availability for standard business hours, occasional evenings and weekends, and in-office work as required.

Nice to have

• Experience with document automation tools.
• Paralegal certification from an ABA-accredited institution for applicants outside California.
