Associate (Corporate & Securities)

Salary: $250,000–$345,000 per year

What you will do

• Advise public and private companies on mergers and acquisitions.
• Draft and negotiate acquisition agreements and ancillary transaction documents.
• Manage and close corporate transactions from execution through completion.
• Advise emerging technology companies on formation, seed and venture financings, and general corporate matters.
• Support corporate governance, compliance, technology transactions, IPOs, public offerings, and SEC reporting.
• Supervise junior associates and manage transaction workflows in a dynamic team environment.

Requirements

• 3–5 years of corporate associate experience.
• Experience with mergers and acquisitions involving public and private companies.
• Experience advising emerging technology companies on formation, venture financings, governance, and compliance.
• High academic achievement from a nationally recognized law school.
• Exceptional oral, written, and interpersonal skills, with strong attention to detail, leadership, business judgment, and motivation.
• Admission to practice in California is strongly preferred but not required.

Nice to have

• Experience at an AmLaw 100 firm, preferably in Silicon Valley or a similar technology environment.
• Public company experience, including IPOs, public offerings, and SEC reporting.
