Paralegal (Corporate & Securities – Technology)

Location: Silicon Valley office, Palo Alto, California

Salary: $110,000–$130,000 annually, depending on skills and experience.

What you will do

• Support attorneys with IPOs, mergers and acquisitions, re-incorporations, stock option plans, and venture capital financings.
• Manage and maintain capitalization records using platforms such as Carta, Shareworks, or Pulley.
• Assist with federal and blue sky securities filings and notices.
• Support formation and initial financing documents and maintain corporate records, minute books, and closing binders.
• Prepare closing documents and complete post-closing tasks.
• Support incorporation of high-tech companies, due diligence, corporate governance, and stock option plan administration.

Requirements

• Bachelor’s degree or equivalent experience, preferably in business, accounting, finance, or a related field.
• 3–6 years of corporate and securities paralegal experience, including direct experience supporting IPOs from start to finish.
• Experience with capitalization management software such as Carta, Shareworks, Pulley, or similar tools.
• Knowledge of capitalization fundamentals, transaction types, securities law requirements, and equity compensation accounting.
• Advanced Excel skills, including sorting and filtering, formulas, functions, pivot tables, analysis, and modeling.
• Strong attention to detail, organization, communication, project and time management, critical thinking, confidentiality, and integrity; flexibility to work overtime as requested.

Nice to have

• ECA designation or CEP certification.
