Senior Legal Counsel (Alternative Investments)

Location: Owings Mills, Maryland, United States. Hybrid work with up to one day per week from home.

Base salary: $145,000–$247,000 for Maryland, Colorado, Washington, and remote workers; other ranges apply to Washington, D.C., New York, and California.

What you will do

• Provide day-to-day legal support for the alternative investments business.
• Advise on the formation, structuring, offering, governance, and ongoing operation of private funds and related products.
• Draft, review, and negotiate fund documents, side letters, subscription materials, investment management agreements, distribution agreements, and other strategic contracts.
• Partner with compliance, risk, operations, finance, tax, investor relations, business leadership, and internal and external counsel.
• Monitor regulatory developments and translate requirements into practical guidance for the business.
• Manage complex matters involving fund launches, amendments, investor negotiations, product development, and strategic initiatives.

Requirements

• Law degree from an accredited school of law.
• Admission to the Maryland State Bar or another state bar.
• At least 8 years of relevant legal experience.
• Experience with a regulated financial institution, investment manager, private fund sponsor, or law firm supporting asset management or alternative investments.
• Familiarity with federal securities and investment adviser regulatory frameworks.
• FINRA licenses are not required and will not be supported for this role.

• In-house asset management, private funds, or alternative investments experience.
