Legal Counsel - Global Transactions & Legal Governance (Hybrid; m/f/x/d; 80-100%)

Location: Zurich, Switzerland; hybrid work with an expectation of at least three office days per week

Base salary: CHF 132,000–198,000 per year for a full-time role, plus potential performance-based annual bonus and additional benefits.

What you will do

• Advise on complex reinsurance and alternative capital transactions, including insurance-linked securities, structured reinsurance, retrocession, collateralised solutions, and legacy portfolio transactions.
• Draft, review, and negotiate contracts and legal documents from transaction structuring through execution and implementation.
• Conduct legal and regulatory due diligence and advise on cross-border matters across multiple jurisdictions.
• Coordinate Legal, Tax, Accounting, Finance, Risk, Compliance, structuring, underwriting, and client-management stakeholders.
• Develop transaction frameworks, legal templates, negotiation strategies, and governance best practices.
• Manage legal risks, approval materials, senior-management reporting, external counsel, and internal legal training.

Requirements

• Qualified lawyer with a bar examination qualification in the UK or Switzerland preferred, or an equivalent qualification in another relevant jurisdiction.
• At least five years of post-qualification experience, ideally in a law firm or in-house role within the reinsurance industry.
• Expertise in reinsurance law, transactions, and regulation, with a working understanding of structured finance and collateral structures.
• Experience with regulatory and licensing issues in cross-border scenarios and complex multi-jurisdictional matters.
• Excellent drafting, negotiation, and communication skills.
• Fluent English, both written and spoken, is required.

Nice to have

• Experience with insurance-linked securities, alternative capital structures, legacy portfolio transactions, or capital management transactions.
• Familiarity with collateralised reinsurance structures.
• Experience coordinating international legal and regulatory matters or managing external counsel.
• Experience developing legal frameworks, templates, or best practices in a complex organisation.
• Strong interpersonal skills and the ability to manage multiple matters and deadlines independently.
