Associate Counsel, Corporate (Fintech)

Location: United States; preference given to Chicago applicants. The company supports fully remote and hybrid work arrangements.

New hire base salary: $185,000–$210,000 per year, plus eligibility for a performance-based bonus.

What you will do

• Manage specialized matters with outside counsel and support litigation and subpoena requests.
• Draft, review, and maintain terms of service, privacy policies, acceptable use policies, trader agreements, disclosures, and other user-facing documentation.
• Draft, review, and negotiate SaaS agreements, software licenses, vendor contracts, data processing agreements, and other technology-related commercial agreements.
• Prepare corporate documentation, support entity maintenance, and help organize minute books.
• Advise product development, engineering, cybersecurity, privacy, and trader support teams on legal, regulatory, data security, account eligibility, and trader-rule matters.
• Research legal and regulatory developments, provide practical advice to leadership, and deliver training on legal and compliance topics.

Requirements

• Juris Doctor degree from an accredited law school and an active license to practice law in at least one U.S. jurisdiction.
• 4–6 years of corporate, commercial, and technology transactions experience in-house or at a mid-to-large law firm.
• Experience drafting and negotiating SaaS agreements, licensing agreements, technology commercial agreements, and vendor contracts for a SaaS or fintech organization.
• Experience with corporate governance, entity maintenance, and minute book organization.
• Strong business judgment, communication, problem-solving, organizational, and project management skills, including the ability to manage competing priorities and explain complex legal matters to non-lawyers.
• Proficiency with Microsoft 365, Google Drive and Docs, document management systems, collaboration tools, and CRM platforms.

Nice to have

• In-house counsel experience at a fintech company, trading firm, or SaaS provider, or relevant law firm experience.
• Experience supporting product development teams in agile or fast-paced fintech or SaaS environments.
• Experience building cross-functional relationships and improving legal processes, templates, or workflows.
• Familiarity with global privacy and data security compliance, including GDPR, CCPA, GLBA, and state privacy laws.
