Senior Attorney, Corporate Legal (Insurance): Providing legal support for mergers and acquisitions, capital markets transactions, shareholder capital return strategies, reinsurance, and derivatives agreements with an accent on corporate transactions and financial services law. Focus on negotiating complex agreements, advising internal stakeholders on transaction risks, and coordinating strategic projects through due diligence and post-closing integration.

What you will do
- Advise Corporate Development, Treasury, Finance, Institutional Products, Reinsurance, and Asset Liability Management on corporate legal matters.
- Support acquisitions, insurance block purchases, reinsurance transactions, divestitures, joint ventures, and restructurings.
- Advise on debt and capital markets transactions, preferred stock issuances, share repurchases, dividend declarations, and other capital return strategies.
- Negotiate and draft reinsurance agreements, asset and stock purchase agreements, credit agreements, ISDAs, and other derivatives-related documents.
- Coordinate share transfer agent activities related to dividends, share purchases, and other stock matters.
- Support enterprise-wide strategic and transactional projects, including due diligence, project management, agreement negotiation, and post-closing integration.
Requirements
- Juris Doctorate from an ABA-accredited law school.
- Member in good standing of a state bar association.
- 5+ years of in-house or large law firm experience in mergers and acquisitions and/or capital markets transactional work.
- Strong negotiation, legal research, analysis, drafting, editing, proofreading, and presentation skills.
- Strong project management, organization, prioritization, critical thinking, and decision-making skills.
- Working knowledge of Microsoft Word, Excel, and Outlook; ability to work independently, collaborate effectively, and mentor junior staff.
