What you will do

• Interface with public company board members and serve as a trusted point of contact.
• Organize board and committee agendas and materials, attend meetings, and draft resolutions and minutes.
• Assist with SEC filings, D&O questionnaires, annual shareholder meetings, and proxy voting.
• Coordinate diligence responses for securities offerings and assist with reviewing offering and marketing materials.
• Manage corporate calendars, equity award records, entity formation and lifecycle matters, KYC requests, and structure charts.
• Support licensing, process agent, insurance, corporate records, and general legal research activities.

Requirements

• 1–3 years of experience supporting corporate legal and governance matters.
• Strong collaboration, interpersonal, written, and verbal communication skills.
• Ability to anticipate board members’ needs and provide high-touch support.
• Highly organized, proactive, discreet, and able to manage multiple priorities and deadlines.
• Ability to work independently and collaboratively with strong ownership, accountability, and professional integrity.
• Comfort working in a rigorous, fast-paced, team-oriented environment.
