Subsidiary Governance Legal Analyst

Location: Houston, Texas, United States of America. The role is onsite and only local candidates will be considered; relocation is not offered. Expatriate assignments will not be considered.

hirify.global is a corporation with a Corporate Governance Department within its Law Function.

What you will do

• Prepare minutes, written consents, certificates of fact, affidavits, and board of director consents.
• Coordinate with Subsidiary Governance Liaisons on financial transactions, including dividends, capital contributions, loans, credit agreements, and intercompany settlements.
• Prepare and file subsidiary qualifications, registrations, and withdrawals in appropriate states or jurisdictions.
• Maintain the accuracy and reliability of the enterprise subsidiary database and support subsidiaries, divisions, and controlled affiliates in good standing and compliance with local laws and company policy.
• Research governance documents, provisions, subsidiary business activities, and historical records as requested.
• Compile statistical and other information on governance performance and metrics.

Requirements

• BA degree or Paralegal certificate.
• Minimum of five years of legal experience.
• Experience working as a legal analyst or paralegal in a law firm or corporate law department.
• Teamwork experience, ability to handle multiple assignments, and ability to positively impact projects under tight deadlines.
• Strong written and verbal communication skills, including communication across broad functional and organizational lines.
• Analytical capabilities, subject matter expertise, and judgment to identify material issues and escalate them as necessary.
• Proficiency with Microsoft Office suite tools, Adobe Acrobat, and legal research applications.
• Ability to establish and maintain effective working relationships with peers and attorneys, work independently with minimal supervision, and maintain high-quality performance with varied deadlines and competing priorities.
• Strong organization and planning skills; open-minded and collaborative approach to projects involving various enterprise functions.

Nice to have

• Additional relevant legal, governance, or corporate compliance experience.
• Strong working knowledge of legal entity management platforms and related technology tools.
• Experience conducting legal research and analyzing corporate, regulatory, and compliance requirements across multiple jurisdictions.
• Comfort and fluency with AI tools for research efficiency, document drafting, compliance monitoring, and process automation.
