TL;DR
Corporate Paralegal (Corporate Governance): Supporting corporate governance, recordkeeping, entity management, and legal administration for Panasonic's U.S. and foreign subsidiaries with an accent on corporate filings, board and stockholder documentation, and compliance with Delaware and other state laws. Focus on preparing authorization documents, maintaining corporate records, coordinating foreign entity registrations, and supporting M&A due diligence and post-acquisition integration.

Location: Onsite in Newark, New Jersey, United States. Valid authorization to work in the U.S. is required.

Salary: $100,000–$110,000 per year, with potential discretionary bonuses and incentives.

What you will do

  • Support the Associate General Counsel, General Counsel, corporate counsel, and Panasonic management with corporate governance and legal administration.
  • Prepare notices, agendas, minutes, unanimous written consents, certificates, bylaws, incorporation documents, and other corporate records.
  • Maintain corporate record books, stock ledgers, licenses, certificates, organizational charts, and entity data sheets.
  • Coordinate incorporations, LLC formations, state licensing, foreign branch and subsidiary registrations, reorganizations, liquidations, and dissolutions.
  • Assist with annual reports, business licenses, notarization, apostille, authentication, registered-agent coordination, and corporate filings.
  • Support M&A due diligence, ancillary document preparation, asset and stock sales, and post-acquisition integration.

Requirements

  • 8–10 years of corporate paralegal experience in a major multinational corporation or major U.S. law firm.
  • College degree in law, business administration, or a related discipline, or an equivalent combination of education and legal experience.
  • Completion of a corporate paralegal course from an approved U.S. paralegal training institution, unless holding a law degree.
  • Broad knowledge of corporate law, particularly Delaware corporate and incorporation laws and procedures.
  • Strong organization, communication, research, multitasking, and deadline-management skills.
  • Advanced knowledge of Excel, Word, PowerPoint, eSign, eCounsel, Outlook, legal research platforms, and entity management systems.

Nice to have

  • Law degree or completed corporate law courses at an accredited U.S. law school.
  • Experience with a major Japanese-owned or other foreign-owned corporation in the United States.
