Associate General Counsel, Commercial (AI)

Location: Hybrid role based in the San Francisco Bay Area, United States; three full days per week in the San Francisco office. The role requires sufficient overlap with the relevant team’s time zone and travel once per quarter, including two annual trips to San Francisco and two annual trips to Kazakhstan.

Salary: $100,000–$125,000 per year, depending on experience, skills, scope, and location.

What you will do

• Lead complex commercial transactions, including enterprise SaaS, API and developer platform agreements, technology licensing, strategic partnerships, channel partnerships, and procurement.
• Structure and negotiate agreements involving AI infrastructure, model licensing, API access, developer platforms, and usage-based pricing.
• Advise executives and cross-functional leaders on AI, software, data, intellectual property, privacy, digital media, advertising technology, and emerging regulations.
• Support international expansion, go-to-market models, pricing strategies, product launches, and strategic business initiatives.
• Build scalable contracting processes, negotiation playbooks, approval frameworks, templates, fallback positions, and legal workflows.
• Collaborate with Sales, Partnerships, Product, Engineering, Security, Privacy, Finance, and Operations while mentoring junior legal professionals.

Requirements

• J.D. from an accredited law school and active membership in at least one U.S. state bar.
• 10+ years of legal experience, including sophisticated commercial transactions for high-growth technology companies.
• Deep experience with enterprise SaaS, API and developer platform agreements, technology licensing, strategic partnerships, and related commercial matters.
• Experience supporting AI, cloud infrastructure, APIs, developer platforms, or other highly technical software products.
• Strong understanding of AI, software, data, intellectual property, privacy, and emerging technology law.
• Exceptional drafting, negotiation, business judgment, communication, stakeholder management, and independent problem-solving skills.
