Commercial and Corporate Counsel (Web3)

Location: On-site in San Francisco, California, United States

Salary: $234,000–$275,000 annually, plus a long-term incentive package.

What you will do

• Draft, negotiate, and execute strategic partnerships, enterprise customer agreements, technology integrations, SaaS agreements, vendor arrangements, and ecosystem partnerships.
• Partner with business development, partnerships, product, operations, finance, leadership, and legal stakeholders on complex commercial arrangements.
• Advise on transaction structure, risk allocation, operational considerations, and negotiation strategy.
• Support novel transactions involving blockchain infrastructure, digital identity systems, AI, and global operational models.
• Develop templates, playbooks, fallback positions, and scalable contracting processes.
• Support investments, acquisitions, joint ventures, corporate governance, subsidiary maintenance, and other strategic initiatives.

Requirements

• 3–6 years of experience as a commercial or technology transactions attorney, including meaningful experience at a top-tier law firm and in-house.
• Significant hands-on experience drafting, negotiating, and managing sophisticated commercial transactions and strategic partnerships.
• Strong communication, relationship-building, judgment, integrity, attention to detail, and organizational skills.
• Practical, business-oriented problem-solving skills and the ability to balance legal risk, commercial objectives, operational realities, and execution speed.
• Generally able to work in person from the San Francisco office.
• Willingness to travel internationally occasionally and maintain flexible scheduling based on team needs.
