TL;DR
Corporate & External Affairs Analyst Principal (Corporate Governance): Supporting public company and regulated entity board operations, corporate records, and subsidiary management with an accent on governance documentation, board meeting coordination, and regulatory compliance. Focus on preparing resolutions and SEC-related materials, managing quarterly board deliverables, coordinating director meetings and travel, and maintaining confidential legal records.

Location: United States; travel to Jacksonville and New York City is required for board meetings.

What you will do

  • Provide confidential administrative support to senior legal executives, the Corporate Secretary, public company boards, and regulated entity teams.
  • Prepare and organize board and committee materials through board portals such as Boardvantage.
  • Draft agendas, board notices, resolutions, secretary certificates, memoranda, and correspondence.
  • Project-manage quarterly board meeting deliverables and coordinate meeting logistics, travel, events, and director onboarding.
  • Support governance and entity compliance across regulated corporate subsidiaries, including formations and annual reports.
  • Coordinate with legal, regulatory, risk, compliance, internal audit, and business stakeholders while handling apostille, notary, and DocuSign requests.

Requirements

  • Bachelor’s degree or equivalent education, training, or work experience.
  • 8 or more years of experience in a legal or regulatory environment supporting public company governance, board matters, and SEC matters.
  • Ability to travel to Jacksonville and New York City for board meetings held twice annually in each location.
  • Advanced Microsoft Office skills and experience with board portals, Workiva, SEC filing systems, and legal software applications.
  • Knowledge of legal and regulatory research tools, including Harvey and PLC.
  • Strong legal writing, communication, organization, project management, confidentiality, and time-management skills.
