Commercial and Corporate Counsel (Web3)

Location: Generally based in the San Francisco office, California, United States

Salary: $234,000–$275,000 per year, plus a long-term incentive package

What you will do

• Draft, negotiate, and execute strategic partnerships, enterprise agreements, technology integrations, SaaS agreements, vendor arrangements, and ecosystem transactions.
• Partner with business development, partnerships, product, operations, finance, leadership, and legal stakeholders on complex commercial arrangements.
• Advise on transaction structures, risk allocation, operational considerations, and negotiation strategy.
• Support transactions involving blockchain infrastructure, digital identity systems, AI, emerging technologies, and global operating models.
• Contribute to contract templates, playbooks, fallback positions, and scalable contracting processes.
• Support investments, acquisitions, joint ventures, corporate governance, subsidiary maintenance, board materials, consents, and resolutions.

Requirements

• 3–6 years of experience as a commercial or technology transactions attorney, including meaningful top-tier law firm and in-house experience.
• Significant hands-on experience drafting, negotiating, and managing sophisticated commercial transactions and strategic partnerships.
• Excellent communication, relationship-building, judgment, discretion, integrity, and attention to detail.
• Practical, business-oriented problem-solving skills and the ability to balance legal risk, commercial objectives, operational realities, and execution speed.
• Able to generally work in person from the San Francisco office.
• Open to occasional international travel and flexible scheduling based on team needs.
