Energy & Infrastructure Counsel

Location: Memphis, Tennessee, United States; in-office 5 days per week

Salary: $200,000–$230,000 USD per year, plus equity and benefits

What you will do

• Lead the negotiation and structuring of development deals, real estate transactions, capital equipment purchases, and hardware and raw-material procurement.
• Negotiate power-related contracts, including interconnection and electricity service agreements, solar deployments, storage transactions, PPAs, generation structures, gas supply and transport, water rights, and ERCOT matters.
• Draft and negotiate construction contracts, design-build engineering agreements, and project documents for high-power data center facilities with advanced cooling, cabling, fiber, and GPU infrastructure.
• Support financing structures, tax incentives, leases, permitting, easements, land use transactions, and project finance for multi-billion-dollar infrastructure investments.
• Partner with engineering, security, procurement, business development, and finance teams to align legal terms with technical and commercial requirements.
• Coordinate with outside counsel while maintaining strategic oversight and risk judgment.

Requirements

• 5+ years of legal experience, ideally with technology or development companies and/or leading law firms.
• Deep commercial contracting experience focused on large-scale infrastructure projects.
• Experience managing heavy workloads, prioritizing effectively, and closing transactions on aggressive timelines.
• Understanding of or strong interest in data centers, power, and emerging AI technologies.
• JD from an accredited law school and active bar membership in at least one U.S. state.
• U.S. citizenship, lawful permanent residence, refugee or asylee status, or eligibility to obtain the required ITAR authorizations is required.
