Director, Investments Counsel

Location: Redwood City, California, United States — hybrid or remote; relocation support is available for employees moving to the Bay Area.

Salary: $323,000–$485,000 base pay annually, plus eligibility for a discretionary target bonus.

What you will do

• Lead legal strategy for investments across public and private funds, co-investments, and related opportunities.
• Advise Investment leadership on fund structures, bespoke transactions, legal risk, and execution across asset classes.
• Review and negotiate LPAs, side letters, co-investment agreements, and other investment documents.
• Structure transactions while balancing legal, tax, regulatory, governance, and mission-driven considerations.
• Develop standardized legal processes, playbooks, and governance practices for investment execution.
• Coordinate with Tax, Finance, Compliance, Legal colleagues, and external counsel on integrated investment decisions.

Requirements

• 15+ years of legal experience in investment funds and asset management.
• Deep expertise in private equity, hedge funds, alternative investments, investor-side negotiations, and co-investments.
• Experience structuring investments across taxable and tax-exempt entities, including UBTI and ERISA considerations.
• Ability to lead complex negotiations, manage concurrent transactions, and translate legal complexity into practical guidance.
• Experience managing external counsel and influencing senior stakeholders across functions.
• Juris Doctor required; active bar membership preferred in California or willingness to obtain it.
