Associate Corporate Counsel (SaaS/Ecommerce)

Location: New York City, United States; hybrid with 2 days per week in the office

Base compensation: $125,000–$150,000 per year

What you will do

• Draft, review, and negotiate SaaS subscription agreements, order forms, amendments, statements of work, vendor contracts, and procurement agreements.
• Manage NDA workflows, standardized templates, the data room, and key contract records.
• Support data privacy and data protection compliance, including data processing agreements.
• Develop contract playbooks, clause libraries, internal legal resources, and legal operations processes.
• Respond to legal requests from sales, partnerships, finance, product, engineering, and other business teams.
• Support corporate governance, entity management, terms of service, acceptable use policies, and API or data licensing matters.

Requirements

• JD from an accredited law school.
• Active membership in good standing of the New York bar, or eligibility for in-house registration.
• 2+ years of legal experience, ideally involving commercial transactions, technology agreements, or general corporate work.
• Experience in a law firm, in-house legal team, or a combination of both.
• Strong drafting, negotiation, communication, organization, and prioritization skills.
• Ability to work collaboratively in a fast-paced environment with evolving priorities and limited established process.

Nice to have

• Familiarity with SaaS or technology agreements.
• Experience with ecommerce business models.
