Commercial and IP Counsel (AI)

Location: Redwood City, California, United States; hybrid

Salary: $250,000–$300,000 per year plus equity

What you will do

• Draft, negotiate, and close API and enterprise agreements with the sales organization.
• Build scalable contracting infrastructure, including templates, negotiation playbooks, risk tiering, and contract lifecycle processes.
• Negotiate cloud, GPU, compute, infrastructure, model-hosting, API-reseller, and co-development agreements.
• Structure data licensing and content-partnership agreements for training and fine-tuning datasets.
• Advise research, engineering, data, product, and infrastructure teams on IP ownership, model weights, checkpoints, derivative models, licensing, and generated-content risks.
• Review customer DPAs and privacy questionnaires and advise on content provenance, authenticity, takedowns, and DMCA processes.

Requirements

• J.D. and active membership in at least one U.S. state bar.
• 5+ years of experience across law firm and in-house roles, including technology commercial transactions and IP.
• Experience independently negotiating SaaS/API, data licensing, cloud, compute, and infrastructure agreements.
• Technical fluency with generative AI development and deployment, including training data pipelines, fine-tuning, distillation, model weights, checkpoints, and inference serving.
• Experience with AI-related copyright, training-data rights, output ownership, infringement risk, open-source and open-weight licensing, and ML patentability.
• Familiarity with the EU AI Act, U.S. state AI laws, content-provenance rules, and their effect on commercial and IP terms.

Nice to have

• In-house experience at a foundation-model lab, AI infrastructure company, or developer platform.
• Technical background in computer science or electrical engineering, or fluency reading ML papers.
