Legal Counsel, Real Estate Financing & Joint Ventures

Location: San Francisco, CA, United States; onsite in-office 5 days per week

Salary: $218,000–$273,000 annually plus bonus and restricted stock units

What you will do

• Draft, review, negotiate, and execute real estate transaction agreements, including LOIs, purchase and sale agreements, options, easements, and ground leases.
• Support financing, debt raises, construction loans, recapitalizations, and other structured financial transactions.
• Conduct and coordinate legal due diligence for construction financing and complex joint venture structures.
• Draft and negotiate customer leases and specialized data center service agreements.
• Develop standardized legal documents, templates, and clauses to improve contracting consistency.
• Advise Power Engineering, Construction, Finance, Tax, and other stakeholders on complex legal matters.

Requirements

• Juris Doctor degree from an accredited law school.
• Active bar admission in any US state.
• 5–7 years of experience in real estate acquisitions, project finance, or power procurement.
• Strong knowledge of construction financing and loan due diligence.
• Excellent negotiation, contract drafting, analytical, and judgment skills.
• Experience with data centers or large-scale industrial development projects is strongly preferred.

Nice to have

• Experience with synthetic lease structures or tax-equity financing.
• Background at a law firm specializing in project finance or commercial real estate.
• Familiarity with digital infrastructure and AI cloud scaling.
