Attorney - Tax Credit Investments & Syndication

Location: Lincoln, Nebraska, United States; hybrid work with a minimum of 24 hours per week in the Lincoln office

Salary: $120,000–$160,000 annually, depending on experience.

What you will do

• Conduct legal research and draft memoranda on technical tax and transactional issues.
• Analyze federal tax credit legislation, IRS notices, and Treasury guidance and apply developments to current and prospective investments.
• Support due diligence for tax equity investments and syndications by reviewing data rooms, project contracts, debt and equity agreements, insurance, and diligence reports.
• Draft, review, negotiate, and coordinate execution of investment and project documents, including LLC agreements, NDAs, engagement letters, and tax insurance policies.
• Monitor legal, insurance, lender, tax, and business compliance throughout the investment lifecycle.
• Support entity formation and legal reorganizations in coordination with business leaders and accounting.

Requirements

• Juris Doctor from an accredited law school.
• Admission to practice law and good standing in at least one U.S. jurisdiction.
• At least 2 years of corporate or transactional legal practice experience at a law firm or in-house.
• Must already be authorized to work in the United States without current or future visa sponsorship.
• Strong legal analysis, business judgment, organization, communication, and transaction management skills.
• Ability to work independently while managing multiple complex transactions.

Nice to have

• Experience in tax credit investments, renewable energy project finance, or real estate and fund transactions.
• Familiarity with partnership structures and taxation.
• Bachelor’s degree in accounting, business administration, economics, finance, or environmental sciences.
