General Counsel (Web3): Leading global legal, compliance, and regulatory functions for Bitcoin infrastructure and financial products with an accent on regulatory strategy and commercial transactions. Focus on scaling legal infrastructure, managing multi-jurisdictional compliance, and advising the Board on corporate governance and M&A.

Location: Hybrid (Expectation of 2–3 days per week in the Menlo Park office)

What you will do

• Define and execute global legal and compliance strategies aligned with business objectives and risk tolerance.
• Advise the Board of Directors and executive leadership on corporate governance, M&A, and legal strategy.
• Oversee negotiation and drafting of complex commercial agreements, including SaaS, licensing, and custody.
• Drive regulatory engagement across multiple jurisdictions including the US, Canada, EU, and Asia.
• Build scalable legal infrastructure, including policies, playbooks, and compliance frameworks.
• Manage IP protection, external counsel, and the overall legal budget.

Requirements

• JD or equivalent law degree and active membership in a state/provincial bar association.
• 12+ years of legal experience in fintech, cryptocurrency, blockchain, or highly regulated tech industries.
• Previous experience as General Counsel, Deputy GC, or senior legal executive in a global organization.
• Deep expertise in commercial transactions and global regulatory frameworks (AML, KYC, GDPR, CCPA).
• Proven experience advising Boards of Directors on financing, M&A, and organizational structuring.
• Must be able to work hybrid in Menlo Park, USA (2–3 days per week).

Nice to have

• Direct experience in the Bitcoin ecosystem, sidechains, or decentralized protocols.
• Experience engaging directly with regulators and policymakers in the crypto/fintech space.
• Background in international entity structuring and global expansion.
• Familiarity with open-source licensing models and protocol development.
• Experience supporting venture financing and capital markets activities.
