Salary: $190,000 - $215,000

What you will do

• Own corporate governance, including board and stockholder actions, subsidiary maintenance, and entity records.
• Manage cap table and equity matters, including option grants, 409A coordination, and executive compensation.
• Support corporate finance and transactional activity involving equity, debt, and convertibles.
• Lead negotiation and execution of commercial agreements, such as NDAs, vendor agreements, and DPAs.
• Build and maintain governance and transactional playbooks and templates to scale legal operations.
• Support IPO readiness activities and M&A strategic transactions.

Requirements

• J.D. from an ABA-accredited law school and active member in good standing of at least one U.S. state bar.
• 4+ years of corporate and securities experience at a top-tier law firm, including at least one in-house role.
• Experience with equity, secondary transactions, debt, and sophisticated financing arrangements.
• Deep understanding of cap table mechanics and corporate governance for multi-entity structures.
• Must be based in the Pacific or Mountain time zone.

• Experience with public company reporting and securities compliance.
• Background in regulated industries such as fintech, financial services, or healthcare.
• Experience integrating AI tools into legal contracting and transaction management.
