Location: United States; ideally based near the San Francisco Bay Area, California, or Durham, North Carolina. Highly qualified remote candidates may also be considered. Quarterly travel to the California Bay Area may be required for Board matters, transactions, and team meetings.
Base pay: $225,000–$250,000 per year, plus bonus eligibility and equity compensation.

What you will do
- Lead the corporate legal function and advise on M&A, divestitures, joint ventures, strategic investments, partnerships, restructurings, and financings.
- Structure and execute complex multi-party financing transactions, including project, asset-backed, and special-purpose-vehicle arrangements.
- Oversee public company reporting and securities compliance, including Forms 10-K, 10-Q, 8-K, proxy statements, Section 16 filings, and registration statements.
- Advise on SEC and Nasdaq requirements, Regulation FD, insider trading, disclosure controls, investor communications, and executive trading plans.
- Support Board and committee matters, annual shareholder meetings, governance policies, fiduciary duties, and shareholder engagement.
- Build scalable legal processes, templates, policies, playbooks, and review protocols while managing outside counsel, budgets, and workstreams.
Requirements
- J.D. from an accredited U.S. law school and active membership in good standing with at least one U.S. state bar.
- 10+ years of relevant legal experience, including corporate governance, securities law, public company reporting, and corporate transactions.
- At least 4 years of in-house legal experience at a public company with responsibility for reporting, governance, securities compliance, and Board or committee support.
- Strong knowledge of SEC reporting requirements, Nasdaq or other stock exchange rules, securities laws, disclosure controls, and public company compliance.
- Experience advising senior executives, directors, or Board committees and supporting M&A, strategic investments, financings, capital markets, and equity compensation.
- Excellent drafting, analytical, communication, project-management, and business judgment skills, with practical judgment under ambiguity and pressure.
Nice to have
- Experience in technology, AI infrastructure, memory, semiconductor, hardware, software, or other complex global business environments.
- Experience with major acquisitions, restructurings, rebrandings, spin-offs, or contested governance situations.
- Experience with project finance, infrastructure finance, asset-backed financing, leasing structures, sponsor-backed investments, or cross-border transactions.
- Comfort using AI tools in legal workflows and identifying opportunities to improve legal efficiency and scalability.
