Salary: $150,000 - $225,000 USD

What you will do

• Draft and execute fund formation documentation, including entity governance and bespoke side letter agreements with limited partners.
• Coordinate with external counsel and internal teams on legal diligence and negotiation for new investment opportunities.
• Advise on fund management matters, including LPAC management and updates to disclosure and offering documentation.
• Collaborate with the Chief Compliance Officer on the formation and maintenance of hirify.global Asset Management funds.
• Perform diligence and execution of private venture investments and advise on crypto-relevant regulatory issues.
• Leverage AI tools to improve productivity, decision-making, and output quality in day-to-day legal work.

Requirements

• Active membership in the NY state bar.
• 3-7 years of relevant experience in a funds formation or asset management counsel capacity.
• Knowledge of the Investment Advisers Act of 1940 and applicable SEC rules and regulations.
• Experience with onshore and offshore fund structuring and conflict of interest management.
• Ability to manage transactions involving multiple parties and complex financial structures.
• Strong interest in digital assets.
