What you will do
- Run the full board and committee cycle (scheduling, papers, minutes, and action tracking) across Board, BAC, BRC, P&G, Exco, and internal committees.
- Maintain the governance framework and delegated authorities, ensuring they stay up to date as the business grows.
- Prepare and manage regulatory submissions and notifications to the FCA and PRA, including controller forms and ad hoc notifications.
- Act as a key point of contact for board members and iNEDs, ensuring smooth information flow and meeting deadlines.
- Own the end-to-end share options scheme and shareholder relations (cap table management, share transfers, AGMs).
- Handle Companies House and statutory filings (director appointments/resignations, confirmation statements, and changes to articles).
Requirements
- Relevant experience in company secretarial, assistant company secretary, or governance support within a bank or regulated financial services environment.
- Fully qualified company secretary or actively working towards full qualification, or another appropriate legal/accounting qualification.
- Hands-on experience supporting board/committee operations (scheduling, papers, minutes, action tracking) and familiarity with SM&CR requirements.
- Highly organised and detail-oriented with confidence communicating with senior stakeholders, board members, and regulators.
- Experience administering share option schemes (e.g., Ledgy or similar).
- Proactive ownership in a fast-moving environment and strong written communication skills.
