What you will do

• Lead equity and financing transactions from term sheet through closing.
• Manage corporate governance, board matters, cap table administration, and entity maintenance.
• Structure and negotiate commercial agreements including partnerships, enterprise contracts, and research collaborations.
• Build scalable legal infrastructure, including contracting templates, playbooks, and approval workflows.
• Partner with product, engineering, and research teams to address IP, data use, and risk allocation for AI products.

Requirements

• 10+ years of legal experience with a strong background in both corporate transactions and commercial contracting.
• Significant experience in private company corporate work, including venture financing and governance.
• Ability to exercise strong judgment under uncertainty and provide solution-focused advice.
• Must be based in San Francisco, California.
• Visa sponsorship is available for qualified candidates.
