Attorney, LATAM Funds and Distribution - Vice President

Location: Miami, Florida, United States; hybrid schedule with office work Monday–Thursday and remote work on Friday

Salary: $180,000–$220,000 per year, plus equity and annual performance bonus

What you will do

• Advise on cross-border distribution of private funds, exchange-traded notes, and local Latin American investment structures.
• Draft and negotiate agreements with Latin American distribution agents.
• Coordinate with local counsel on regulatory matters, fund formation, and market-specific compliance.
• Draft and review private fund offering materials, partnership agreements, side letters, subscription agreements, and investor documentation.
• Support client relationship development and business expansion across Brazil, Mexico, Chile, Argentina, and other Latin American markets.

Requirements

• 5+ years of fund formation experience in investment management.
• Strong knowledge of the Investment Company Act of 1940, Investment Advisers Act of 1940, Securities Act of 1933, Securities Exchange Act of 1934, and FINRA regulations.
• Working knowledge of Latin American fund offering rules and regulatory frameworks.
• Experience with offshore fund structures, Regulation D offerings, and international private placements.
• Membership in good standing of the Florida Bar or another state or jurisdiction.
• Strong interpersonal, leadership, organizational, and analytical skills.

Nice to have

• Spanish language proficiency.
• Law firm or in-house experience at an asset management firm or broker-dealer.
