Salary: $180,000 – $220,000

What you will do

• Draft and negotiate agreements with Latin American distribution agents ensuring cross-border compliance.
• Advise on legal implications of offering private funds, exchange traded notes, and local LATAM structures.
• Coordinate with local counsel across Brazil, Mexico, Chile, Argentina, and other regional markets.
• Draft and review private fund offering materials, partnership agreements, and legal documentation.
• Review and negotiate side letters, subscription agreements, and investor documentation for institutional and HNW clients.
• Support client relationship development and business expansion in key Latin American markets.

Requirements

• 5+ years of fund formation experience within the investment management space.
• Strong knowledge of US securities laws (Investment Company Act, Advisers Act, Securities Act, Exchange Act) and FINRA regulations.
• Working knowledge of Latin American fund offering rules and regulatory frameworks.
• Experience with offshore fund structures, Regulation D offerings, and international private placement requirements.
• Member in good standing of the Florida Bar or another jurisdiction.
• Must be based in Miami, FL.

• Spanish language proficiency.
• Law firm or in-house experience at an asset management firm or broker-dealer.
